The documents in this website, which you can access by clicking on the links in the numbered paragraphs below, are as follows:

Link 1. Blog posts. On June 18, 2012, Governor Lynch signed into law a radical revision of the New Hampshire Limited Liability Company Act. The title of the new act (which I'll refer in this website as the "New Act") is "the Revised New Hampshire Limited Liability Company Act." I am publishing a series of articles for New Hampshire business people about the New Act in the New Hampshire Business Review and other New Hampshire publications. To access these articles and my other blog posts about the New Act, click on the "Blog posts" link in this Paragraph 1.

Link 2. My bio. This freely downloadable PDF document provides my professional biography and my contact information.

Link 3. My New Hampshire LLC forms. This freely downloadable PDF document provides an introduction to the 28 model operating agreements ("forms") that I have developed for use in forming New Hampshire LLCs under the current New Hampshire Limited Liability Company (the "Old Act") and the New Act.

  • This introduction contains tables that identify all of these 28 forms. By clicking on any of the links in the left-column of any row of any of these tables, you can open and review a PDF of the form covered by that link and evaluate the form.
  • The introduction also contains guidelines for choosing among the forms and for using them in LLC formations.
  • If you want to purchase any of my forms, please do the following:

    • Send me an e-mail at lawjmc@comcast.net or call me at (603) 856-7172.
    • Let me know in your e-mail or call which forms you want to purchase or that you wish to purchase all of them.
    • Mail a check for your purchase, made out to me, to my law firm, Law Offices of John M. Cunningham, PLLC, at 2 Kent Street, Concord, NH 03301.

As soon as I hear from you, I will have my firm e-mail you the forms you want. The price of each individual form is $49.00. The price of all 28 forms as a set is $399.00.

Link 4. Free copy of the book. I have recently completed an eleven-chapter, 150-page book on the New Act entitled "John Cunningham on New Hampshire's New LLC Act." The book:

  • Comprehensively compares the Old and New Acts; and
  • Discusses the practical implications of the New Act for New Hampshire lawyers, accountants and business people.
